These Terms of Service (the “Terms”) govern your access to and use of the LabsNinja SCIM Connector service (the “Service”) operated by LabsNinja (“we”, “us”). By creating an account or using the Service you agree to these Terms.
1. Eligibility and Account
You must be at least 18 years old and authorised to bind the organisation you represent. You are responsible for the accuracy of the information you provide at signup and for keeping your account credentials confidential.
2. The Service
The Service provides SCIM 2.0 provisioning endpoints, a customer self-service portal, an operator administration console, and supporting infrastructure. We may update, modify, or improve the Service at any time. We will use reasonable efforts to give advance notice of changes that materially reduce functionality available to your existing plan.
3. Trial and Plans
New accounts begin on a 30-day free trial subject to the resource limits shown on the pricing page. Paid plans, if and when offered, will be billed according to the plan you select. We do not guarantee any specific uptime or service level under the trial.
4. Acceptable Use
You agree to use the Service only as permitted by these Terms and our Acceptable Use Policy, and to comply with all applicable laws. You agree not to connect an identity provider you are not authorised to provision from, attempt to access another tenant’s data, or interfere with the Service’s integrity or availability.
5. Customer Data and Data Processing
You retain ownership of all user, group, and provisioning data you submit to the Service (“Customer Data”). We process Customer Data on your behalf as described in our Privacy Policy and our Data Processing Addendum. Data processing terms are available for review.
6. Confidentiality
Each party will protect the other party’s confidential information using at least the same care it uses for its own confidential information of similar nature, and in any case no less than a reasonable standard of care.
7. Intellectual Property
The Service, including all underlying software, documentation, and trademarks, is and remains the property of LabsNinja and its licensors. These Terms do not grant you any right to use our trademarks or branding without prior written consent.
8. Warranties and Disclaimers
The Service is provided “as is” and “as available” without warranty of any kind to the maximum extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet any particular regulatory standard unless explicitly stated in a signed agreement.
9. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to these Terms. Specific liability caps and exclusions will be detailed in a signed enterprise agreement where applicable.
10. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for material breach of these Terms, for non-payment, or where required by law. Sections that by their nature should survive termination (intellectual property, confidentiality, limitation of liability) will survive.
11. Changes to These Terms
We may update these Terms from time to time. The current version identifier is shown at the top of this page. Material changes will be communicated to active customers by email or in-product notice. Continued use of the Service after the effective date of an updated version constitutes acceptance.
12. Governing Law
The governing law and venue for these Terms will be specified in a signed agreement or finalised version of these Terms following legal review.
